Terms and Conditions
These terms and conditions ("these Terms") apply to the access and use of this eShop and such other websites owned, operated and/or controlled by Turbo Jewellery（001792033-A） and/or its subsidiaries from time to time (each a "Site(s)"). References to "the Group" shall mean Turbo Jewellery and its subsidiaries. References to "we", "us" and "the Company" herein shall mean the relevant company within the Group that owns, operates and/or control the relevant eShop or Site(s).
In accessing and using eShop or Site(s) and the services available thereon (the "Services"), you agree to be bound by these Terms, our Privacy Policy, related policies and agreements and any other policies or terms and conditions applicable to such Services and issued by the Group from time to time. If you do not accept these Terms and the Privacy Policy, you must refrain from using the eShop or Site(s).
Nothing in these Terms shall be construed as implying any relationship of partnership, collaboration or employment between you and us. It does not entitle you to hold out yourself as our representative.
The eShop, our Privacy Policy, these Terms, related polices and agreements and any other policies or terms and conditions applicable to the Services are subject to changes from time to time. You are advised to check the eShop from time to time to be apprised such changes (if any).

1.Use of the eShop
1.1. You may only use the eShop for lawful purposes and in a lawful manner. You agree to comply with all applicable laws and regulations regarding your use of the eShop.
1.2. You shall not and shall not attempt to violate the security of the eShop including, without limitation:
(i) accessing data not intended for you;
(ii) logging into a server or account which you are not authorised to access;
(iii) probing, scanning or testing the vulnerability of a system or network utilised by the eShop;
(iv) breaching the security or authentication measures adopted by us for the eShop; and
(v) interfering with the access to or use of the eShop by other users.
1.3. If you breach any Terms you may be subject to civil and/or criminal liability and we may take such legal action as we deem necessary and expedient.
2.Contents of the eShop or Site(s)
2.1. The maintenance of the eShop or Site(s) and all materials and information presented on the eShop or Site(s) are intended for your personal entertainment, information, education and communication only, and shall not be regarded in any way as our offer for sale of, or our solicitation for an offer to buy, any goods or services.
2.2. Information provided on the eShop or Site(s) should not be construed as an offer to sell or a solicitation for an offer to purchase securities, futures, options or other financial instruments. Past performance is not necessarily an indication of future performance.
2.3. Pictures of products on the eShop or Site(s) are for reference only. Although we have made every effort to display the products on the eShop or Site(s) as accurately as possible, the appearance of the products displayed on your computer or mobile device screen may be affected due to screen defaults or display and colour capabilities of your computer or mobile device. We are not responsible for the limitations of technology and do not guarantee that your screen's display of any colour, size, texture or detail of the products will be accurate.
3. Registration
3.1. You warrant that the personal information which you provide when you register as a member or user of the eShop is true, accurate, complete and not misleading in any respect.
3.2. You must never use the membership or user account of another registered member or user. You will be liable for our losses and/or the losses of other persons resulting from your unauthorised use of others' membership or user accounts.
3.3. You are responsible for keeping the details of your membership or user account maintained with us secure and confidential. In no event shall we be responsible or liable for any unauthorised use of your membership or user account by any other person.
3.4. We may operate an online platform for the exchange of views and information in relation to goods and services provided by us ("Forum"). We may invite individuals, companies or organisations ("Writers") to post articles on the Forum from time to time. Provided you are a registered user of the Forum, you may post your feedback, opinion and/or comment in response to the articles posted, which may be viewed by other users of the eShop or Site(s).
4. Submissions and Ownership of Information
4.1. You agree and consent that any and all information including comments, messages, Forum postings, data, suggestions, designs, concepts and other items or materials (save and except for the details of your membership account maintained with us, including without limitation login ID and password) disclosed, submitted, uploaded, posted, emailed, transmitted, distributed, published or offered to us through or in connection with the eShop or Site(s) including via email, mail, voice mail or any other form of transmission (collectively, "Submission") are submitted on a non-confidential and non-proprietary basis and will, on submission, become the property of Turbo Jewellery. We are under no obligation to:
(i) accept any Submission;
(ii) maintain any Submission in confidence;
(iii) pay to you or anyone any compensation for or in connection with the use, including distribution, of any Submission;
(iv) respond to any Submission; or
(v) save or retain any Submission.
We will preserve the content of any Submission at our sole discretion.
4.2. You are solely responsible for all content that you submit. You represent and warrant that your Submission will not, in any manner:
(i) violate any applicable law or regulation or advocate illegal activities;
(ii) infringe the copyright, trademark, trade secrets or other intellectual property rights of others;
(iii) violate the privacy or publicity or other personal rights of others;
(iv) be libellous, defamatory, obscene, pornographic, scandalous, threatening, abusive or hateful;
(v) advertise or solicit funds, goods, services or disseminate any junk mail, spam, chain letters, schemes or other forms of solicitation; or
(vi) contain viruses, Trojan horses, worms, corrupted files, any other Malware or other materials that may cause damage to another's computer,
and you agree not to submit any such material.
4.3. You acknowledge that any Submission posted by you on the eShop or Site(s) (including any personal data) may be accessed by other users of the eShop or Site(s) for the purposes of accepting, forwarding, identifying, locating and/or replying to such Submission. We shall not be responsible for any improper use of the content of such Submission by any third party.
4.4. You acknowledge that we do not pre-screen or approve any Submission posted on the eShop or Site(s) by its users, and agree that you shall be solely responsible for the form, content, accuracy and truthfulness of the Submission posted by you as well as all consequences of your postings on the eShop or Site(s). In any event, we take no responsibility whatsoever for the Submissions posted by any users of the eShop or Site(s), or for loss of content of any Submission, and do not make any representations or warranties regarding the content, truthfulness, reliability or accuracy of any Submission on the eShop or Site(s) posted by its users. Any reliance by you on any Submission posted by other users of the eShop or Site(s) will be entirely at your own risk.
4.5. You may not use any content posted by other users of the eShop or Site(s) other than for the purposes of accepting, forwarding, identifying, locating and/or replying to any content on the eShop or Site(s).
4.6. We may not monitor the eShop or Site(s) at all times but reserve the right to monitor it any time. We may remove any Submission posted by you on the eShop or Site(s) which is abusive, illegal, disruptive, or inappropriate, in our sole and absolute discretion, without any compensation or recourse to you or any other person.
4.7. Without prejudice to the foregoing, we may limit or even ban your posting of any Submission, including but not limited to the period of time of posting and the size or content of your Submission.
4.8. We do not accept any responsibility or liability for any Submission made on the eShop or Site(s), and the contents thereof do not necessarily represent or reflect our views or opinion.
5. Intellectual Property Rights
5.1. You acknowledge and agree that the materials on the eShop or Site(s) (including without limitation text, images, layout, designs, pictures, graphics, logos, icons, brands, audio and video clips, illustrations, data compilations, software and other proprietary materials contained in the eShop or Site(s)) are the intellectual property owned by us, our Affiliates, our licensors or other third parties which are protected by copyright laws and/or other intellectual property laws.
5.2. All trademarks, trade names, and/or logos used on the eShop or Site(s) are our registered or unregistered marks, names and/or logos or those of our Affiliates or third party licensors, which are protected by intellectual property laws. Nothing contained in the eShop or Site(s) shall be construed as granting, by implication, estoppel or otherwise, any licence or right to use any trademarks, trade names or logos displayed on the eShop or Site(s).
5.3. You acknowledge and agree that the materials contained in the eShop or Site(s) are made available for your personal non-commercial use only and that you may download or copy such materials solely for your personal non-commercial use, provided you will not delete or change the copyright, trademark and any other proprietary notices or legends contained in such materials. You will not obtain any right, title or interest in any of such materials as a result of such downloading or copying.
5.4. You undertake that, except for your personal non-commercial use, you shall not, and shall not procure, assist or facilitate any third party to, copy, reproduce, transmit, publish, distribute, display, remove, delete, add to, modify, commercially exploit or create derivative works from, or sell or participate in any sale of the materials contained in the eShop or Site(s) in whole or in part.
5.5. Any use of the materials on the eShop or Site(s) other than those permitted under these Terms is strictly prohibited.
5.6. To the extent that we do not own the intellectual property rights in any Submission, you unconditionally grant us a non-exclusive, worldwide, irrevocable and royalty-free right to use the Submission in connection with our business purposes.
6. Links to Other Websites
6.1. Where the eShop or Site(s) provides links to third party website, these are provided solely as a convenience to you, and shall not in any way be regarded as an endorsement of any kind by us approving the content on such website. If you access any linked third party website, you do so entirely at your own risk. We neither take any responsibility for nor make any representations, warranties or undertakings (whether express or implied) as to their availability and the content contained therein. Any questions or comments relating to such third party website shall be addressed to the operators of those websites.
7. Disclaimers and Limitation of Liability
7.1. To the greatest extent permitted by law, the eShop or Site(s) is provided "as is", without any representation, warranty, condition or other term binding on us, whether express or implied, whether based in common law, statute or otherwise, and we specifically disclaim and exclude any and all representations and warranties of any kind in connection with or in relation to the eShop or Site(s), the information contained therein, the products displayed thereon and the services provided thereat. Unless otherwise expressly set forth herein, Turbo Jewellery makes no representation that the content and materials on this eShop or Site(s) are appropriate or available for use in any location. Your access to the eShop or Site(s) is on your own initiative and you are responsible for ensuring your use of and access to, the eShop or Site(s) complies with all applicable local laws.
7.2. We can cancel orders and refund customers' money because of pricing errors (or for any reason) on the eShop or Site(s).
7.3. Without limiting the generality of the foregoing, we do not represent or warrant that:
(i) your use of the eShop or Site(s) will be uninterrupted or error-free;
(ii) defects on the eShop or Site(s) will be corrected;
(iii) the eShop or Site(s), or the server that makes it available, will be free of viruses, Trojan horses, worms, any other Malware or other harmful elements;
(iv) the information contained in the eShop or Site(s) will be timely, accurate, useful or complete; or
(v) the products displayed and the services described on the eShop or Site(s) will be available in our retail or online shops at all times.
7.4. You should not rely on the information contained in, or available through, the eShop or Site(s) for any time-sensitive information, announcements or news in relation to stock, bonds or other securities, but should instead refer to the relevant Stock Exchange's website for any such information, announcements or news.
7.5. We will not be liable for any failure, delay or default in carrying out our obligations or duties hereunder directly or indirectly caused by or resulted from acts of God, fire, flood, accident, riot, war, terrorist attack, government intervention, embargoes, strikes, labour disputes, equipment failures (including but not limited to Internet system failure) or any other causes beyond our reasonable control.
7.6. We reserve the right to modify or withdraw, temporarily or permanently, the eShop or Site(s) (or any part thereof) with or without notice to you. In any event, we will not be liable to you for any modification to or withdrawal of the eShop or Site(s).
7.7. Except to the extent precluded by applicable law, we and our Affiliates, and our respective officers, directors, agents, employees, contractors and other representatives, exclude all liability arising under, in connection with or related to these Terms and your use of the eShop or Site(s), including all liability for:
(i) indirect, special, incidental, consequential or punitive losses, damages or expenses; and
(ii) damages for economic loss, loss of profits or loss of any of the following – revenue, clients, bargain, goodwill, anticipated savings and, use of products.
7.8. The exclusion of liability herein applies regardless of the basis on which such liability arises, whether for breach of contract, in tort (including negligence), in equity, under statute, under an indemnity, for breach of conditions and warranties implied by custom, the general law or statute, in respect of any claims by a third party against you or otherwise and whether or not we are aware or should have been aware of the possibility of such loss.
7.9. To the extent that our liability cannot be excluded and we are able to limit our liability, then our maximum aggregate liability for all claims arising from, in connection with or related to your use of services on the eShop and the eShop itself shall be limited to the amount of RM100.
8. Indemnity
8.1. You irrevocably and unconditionally agree to defend, indemnify and hold harmless us and each of our Affiliates and each of our respective officers, directors, agents, employees, contractors and other representatives from and against all claims, actions, demands, liabilities, expenses, losses, damages and other costs whatsoever (including but not limited to any claims made against us by any third party) arising from, in connection with or related to your use of the eShop or Site(s) or your breach of these Terms.
9. Expulsion
9.1. In the event that you have breached or violated, or we suspect that you have breached or violated or attempt to breach or violate, any provision of these Terms or the applicable laws or regulations, we may expel you from, and prevent your further access to, the eShop (by terminating your membership or user account, blocking your Internet Protocol (IP) address or any other means), and remove any and all content and materials posted by you on the eShop or Site(s), without notice and compensation of any kind to you.
9.2. We shall have no obligation to deliver or return to you any content or materials posted on the eShop or Site(s) at any time which are subject to removal pursuant to these Terms.
10. General Terms
10.1. We may revise these Terms from time to time without prior notice to you. Your continued use of the eShop or Site(s) following such revision shall be deemed as your acceptance of these Terms as amended. It is your responsibility to visit the eShop regularly to check out the latest Terms.
10.2. From time to time, cyber squatters or other unauthorised persons may register or use a confusingly similar domain name/name/trademark/trade name/logo or otherwise hold themselves out as having any association with or endorsement from us or our Affiliates. We and our Affiliates may investigate and/or take action against such cyber squatters and unauthorised websites but we are not in any way responsible and shall not be liable for any acts and/or omissions of these cyber squatters and/or the contents, transactions or anything related to any unauthorised websites.
11. Entire Agreement
11.1. These Terms constitute the entire agreement between you and us relating to your use of the eShop or Site(s), and shall replace and supersede all other communication (be it written or oral), discussions, letters and contracts relating to the subject matter hereof.
12. Assignment
12.1. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.
13. Waiver
13.1. No failure or delay by us in exercising any right, power or remedy under the Terms shall operate as a waiver thereof, nor shall any single or partial exercise of the same preclude any further exercise thereof or the exercise of any other right, power or remedy. Without limiting the foregoing, no waiver by us of any of your breach of any provision of these Terms shall be deemed as a waiver of any subsequent breach of that or any other provision of the same.
14. Severability
14.1. The provisions contained in each clause of these Terms shall be enforceable independently of each of the others and its validity shall not be affected if any of the others is invalid. In the event any provision of these Terms is determined to be illegal, invalid or unenforceable, the validity and enforceability of the remaining provisions of these Terms shall not be affected and, in lieu of such illegal, invalid, or unenforceable provision, there will be added as part of these Terms one or more provisions as similar in terms as may be legal, valid and enforceable under the applicable law.
15. Governing Law and Jurisdiction
15.1. These Terms are governed by and are to be construed in accordance with the laws of Malaysia.
15.2. All dates and times in these Terms refer to the Malaysia time zone. Saturday, Sundays and all Public Holidays in Malaysia will not be considered as working days for the purposes of these Terms.
15.3. Any dispute, controversy or claim arising out of or relating to the Terms, or the breach, termination or invalidity thereof, will be settled by a court of competent jurisdiction.

(i) 违反任何适用法律或法规，或倡导非法活动;
(ii) 侵犯他人的着作权、商标、商业秘密或其他的知识产权;
(iii) 违反他人的私隐或名声或其他人身权利;
(iv) 中伤、诽谤、淫秽、色情、恶意中伤、威胁、辱骂或仇恨;
(v) 宣传或徵求资金、商品、服务或传播任何垃圾邮件，滥发邮件，连锁信，计划或其他形式的招揽;或
(vi) 含有病毒、木马程式、蠕虫、损坏的档案，任何其他恶意软件或其他可能对他人电脑造成损害的材料。
而您亦同意不提交任何该等材料。
4.3. 您承认您在本网店或网站上所发布的任何提交（包括任何个人资料），可以被本网店或网站的其他用户为着接受、转发、识别、定位及/或回覆此等提交的目的而查阅。我们不对任何由第三方的任何不当使用此等提交的内容负责。

5.6. 在我们不拥有任何提交的知识产权的情况下，您无条件地授予我们一项非独占、全球性的、不可撤销、免版税的使用权，以供我们业务目的之用。

(iii)本网店或网站或令其可以使用的伺服器，将免除病毒、木马程式、蠕虫、任何其他恶意软件或其他有害元素;
(iv) 在本网店或网站中包含的信息将及时、准确、有用的或完整的;或
(v) 在本网店或网站上显示的产品及描述的服务，将可在任何时候都在我们的零售或网上商店有售。
7.4. 您不应该依赖在本网店或网站中包含或通过本网店或网站取得的信息以作为有关股票、债券或其他证券的任何时间敏感性信息、公布或新闻，但应参考联合交易所的有关网站以获得任何此类信息、公告或新闻。
7.5. 我们将不承担任何直接或间接由天灾、火灾、水灾、意外、暴动、战争、恐怖袭击、政府干预、禁运、罢工、劳资纠纷、设备故障（包括但不限於互联网系统故障）或任何其他超出我们合理控制的原因而造成或导致我们在履行我们的义务或职责时有所失败、延误或违约。
7.6. 我们保留权利修改或暂时或永久地撤销本网店或网站（或其任何部分），而毋须通知您。在任何情况下，我们将不须就本网店或网站的任何修改或撤回对您负责。
7.7. 惟适用法律禁止的范围除外，我们和我们的隶属公司，及我们各自的人员、董事、代理、员工、承包商和其他代表，免除在本条款及与您使用本网店或网站所产生或有关的一切责任，包括所有以下责任：
(i) 间接、特殊、偶然、相应或惩罚性损失、损害或费用;及
(ii) 赔偿经济损失、利润损失或以下的任何损失 - 收入、客户、交易、商誉、预期节省及产品的使用。
7.8. 在本文的责任免除全均适用，不论引起这种责任的基础是否为违反合同、侵权（包括疏忽）、衡平法、根据成文法、根据弥偿、违反惯常行为隐含的条件和保证、一般的法律或法规、由第三方或以其他方式针对您的任何申索，且不论我们是否应已知道或意识到这种损失的可能性。
7.9. 在我们的责任不能被免除而我们却能限制我们赔偿责任的情况下，我们就您使用本网店的服务和本网店而产生或与其有关的申索最大赔偿总额，应当不超过马币100元。
8. 弥偿
8.1. 您不可撤回及无条件地同意维护，弥偿并使我们和我们每一隶属公司和我们各自的人员、董事、代理人、雇员、承包商和其他代表免受因有关您使用本网店或网站或您违反本条款而产生或与其有关的所有申索、诉讼、要求、法律责任、费用、损失、损害和任何其他费用（包括但不限於任何第三方对我们提出任何申索）。
9. 驱逐
9.1. 倘若您已经违反或触犯，或我们怀疑您已违反或触犯或企图违反或触犯本条款的任何规定或适用的法律或法规，我们可能会驱逐您，并禁止您进一步到访本网店（透过终止您的会藉或用户帐号，封锁您的互联网协议（IP）地址或任何其他方式），并删除任何及所有您在本网店或网站上发布的材料及内容，恕不另行通知或对您作出任何补偿。
9.2. 在任何时候，我们没有义务交送或归还您在本网店或网站上张贴而根据本条款被删除的任何内容或材料。
10. 一般条款
10.1. 我们可能会不时修改本条款，而毋须事先通知您。在本条款经修订後，您继续使用本网店或网站即被视为您接受经修订的条款。您有责任经常到访本网店检查本条款的最新版本。
10.2. 不时有网络侵权者或其他未经授权的人，可能注册或使用混淆性相似的域名/名称/商标/商号/标识或让他人以为他们与我们或我们的隶属公司有关联或获得我们或我们隶属公司的认可。我们和我们的隶属公司可能对网络侵权者和未经授权的网站进行调查及/或采取行动，但我们不会对该等网络侵权者的任何行为及/或疏忽及/或未经授权网站的内容、交易或与其有关的任何行为承担任何责任。
11. 全部协议
11.1. 本条款构成您与我们有关您使用本网店或网站的全部协议，并应更换及取代所有有关本协议的其他通信（无论是书面或口头）、讨论、信件和合同。
12. 转让
12.1. 未经我们事先书面同意，您不得转让或转移您根据本条款的任何权利或义务。
13. 豁免
13.1. 如我们未能或延迟根据本条款行使任何权利、权力或补救，不应视为我们自动放弃。此外，任何单一或部分行使以上权利，也不应排除任何进一步行使或任何其他权利、权力或补救措施。在不限制前述规定的前提下，我们对您任何违反本条款内任何规定的宽免，不应被视为我们宽免任何对本条款的其他规定或任何其他条文随後的违反。
14. 可分割性
14.1. 本条款中的每一条应有独立的执行力，其有效性，不受其他条款之无效性影响。倘若本条款之任何条款被认定为非法、无效或不可执行的，本条款其它条款之有效性及可执行性不应因上述情况而受到影响。此外，该非法、无效或不可执行的条文将被另一条或多条与其具类似内容且於适用法律下可被视为合法、有效及具执行力之条文取替。
15. 管辖法律及司法管辖权
15.1. 本条款均受马来西亚法律管辖并依其诠释。
15.2. 本条款中的所有日期和时间均指马来西亚时间区。在本条款中，星期六、星期日及马来西亚公众假期将不会被视为工作日。
15.3. 因本条款引起或与之有关的任何争议、纠纷或申索、或违约、终止或无效，将由拥有有效管辖权的法院解决。
